1. Fixed-Block Coaching Bookings

Coaching packages are purchased as a fixed block of sessions at the price agreed in the written quotation. The quotation will confirm the number of sessions, price per session, total package price and intended delivery period.

A fixed-block booking is a commitment to purchase the agreed coaching package rather than a pay-as-you-go arrangement.

2. Payment

Payment must be made in accordance with the agreed quotation and invoice. Where upfront payment is required, the payment covers the agreed coaching package and the capacity allocated for its delivery.

3. Employee Departure and Changes to Funding

Where coaching is commissioned for an employee, the employer must notify Empower Neurodiversity promptly of any material change affecting the engagement, including resignation, a change of role, termination of employment or changes to Access to Work funding or eligibility.

The employer's contractual payment obligations are not automatically cancelled solely because the employee leaves their employment or their funding circumstances change. The consequences will be determined by the agreed booking terms and applicable law.

4. Early Termination and Unused Sessions

If a coaching engagement ends early, the parties will consider whether remaining sessions can reasonably be completed, rescheduled or allocated to another suitable participant by written agreement, where permitted by applicable funding conditions.

If the engagement cannot continue, the financial consequences will be determined under the agreed booking and early-termination provisions. These may include fees for sessions delivered and agreed, lawful and proportionate early-termination charges.

Any amount retained or refunded will be determined in accordance with the agreed contract and applicable law, taking account of the services delivered, the contractual commitment, reasonable non-recoverable costs and any relevant savings or losses arising from early termination.

5. Rescheduling and Transfer

Sessions are allocated to the participant and engagement identified in the accepted quotation. Sessions cannot automatically be transferred to another individual or service.

Any change of participant, extension of the delivery period or alternative use of remaining sessions requires written agreement from Empower Neurodiversity and must comply with applicable funding conditions.

6. Cancellations and Missed Appointments

The applicable quotation or booking agreement will specify cancellation notice requirements and any charges for late cancellations or missed appointments. Any charges will be communicated in advance and must be reasonable and proportionate to the circumstances.

7. Access to Work and Other Funding

Where a booking involves Access to Work or another funding arrangement, all relevant funding conditions must be followed.

The withdrawal, reduction or ending of funding does not automatically determine the contractual rights and obligations between Empower Neurodiversity and the employer. These will be determined by the accepted booking agreement and applicable law.

8. Acceptance of Terms

The applicable quotation and these terms must be provided before the booking is confirmed.

The employer must expressly accept the quotation and applicable booking terms in writing before coaching begins. The accepted quotation, service agreement and these terms form the contractual documentation for the booking, subject to applicable law.

Any subsequent variation must be agreed in writing by both parties.
